Zu verdanken haben sie die Kontrollmehrheit ausgerechnet dem zweiten Großaktionär PPF , der sich lange gegen die Berlusconi-Strategie gestellt und mit einem eigenen Erwerbsangebot um mehr Einfluss auf Pro Sieben Sat.1 gebuhlt hat.Allerdings hatten der Vorstand und der Aufsichtsrat von Pro Sieben Sat.1 die Annahme des Angebots der Italiener schon vor einigen Wochen ihren Aktionären empfohlen. Ein erstes Angebot von MFE hatte die Pro-Sieben-Sat.1-Führung im Mai noch als „finanziell nicht angemessen“ zurückgewiesen.Anschließend hatte der zweite Großaktionär PPF sieben Euro in bar für die Pro-Sieben-Sat.1-Aktie geboten. Daraufhin besserte MFE nach und offerierte den Aktionären zwar nur 4,48 Euro in bar, dafür aber zudem 1,3 MFE-Aktien der Kategorie A.PPF gab in der eigenen Mitteilung bekannt, dass man angesichts der Überlegenheit von MFE im Aktienkapital von Pro Sieben Sat.1 keine Chance mehr sehe, eine Rolle als strategischer Investor auszuüben. „Wir sind ein verlässlicher Investor, und wir wollen Einfluss nehmen“, sagte ein Sprecher der Investorengruppe der F.A.Z.
